By accessing or utilizing the website located at winterlands.com ("Website") or any features thereof, you hereby agree to be bound by the terms and conditions set forth in this Terms of Service Agreement ("Agreement"), including any subsequent amendments or modifications thereto. Should you disagree with any provision herein, you acknowledge and understand your obligation to refrain from using the Website.

1. Description of Service

‍The Website facilitates the submission of offers to purchase properties listed thereon. Upon acceptance of an offer by the seller, you may proceed to purchase the property at the agreed-upon price.

2. General Rules

‍(a) You shall maintain the confidentiality of your login credentials and account information associated with the Website.(b) You shall not utilize the Website or its features to disseminate spam or unsolicited communications to other users.(c) You shall not employ the Website or its features to distribute computer contaminants, including but not limited to viruses, worms, Trojan horses, spyware, malware, or any other program or tool that disrupts the functionality of computers or systems.

3. Conditions of Purchase

‍The buyer acknowledges that the seller conveys the described property on an "as-is" basis, and the buyer agrees to accept the property in its current condition. No representations or warranties regarding fitness for a particular purpose have been made. No verbal assurances or promises not expressly included in this Agreement shall be binding. If the property is not situated on a public road, the buyer acknowledges such and agrees to hold the seller harmless for any maintenance or improvements to existing easements. The buyer further agrees to assume responsibility for any improvement or utility bonds. Failure to physically inspect the property shall not constitute grounds for termination of this Agreement.

4. Property Purchase Policy

Winterlands.com is committed to ensuring client satisfaction through a streamlined, efficient, and cost-effective land purchasing process. Each property is unique, and the Website attracts thousands of daily visitors globally. Upon clicking the "Buy Now" button and completing the checkout process, a non-refundable $499 deposit shall be remitted, which shall be credited toward the purchase price. Winterlands.com shall cover all closing costs. The remaining balance may be paid via wire transfer, cashier’s check, ACH bank draft, credit card, or debit card. The purchase must be finalized within five (5) calendar days from the date of the deposit. Failure to complete the purchase within this period may result in the property being relisted, with the deposit forfeited and no refund issued.

5. Processing Fees

‍The buyer acknowledges that all processing fees paid are non-refundable. No refunds shall be issued in the event the buyer elects to terminate the transaction or fails to complete full payment within five (5) calendar days.

6. Disclaimers

‍The Website is provided on an "as-is" and "as-available" basis, and your use thereof is at your sole risk.(b) Winterlands.com makes no representations or warranties, express or implied, regarding uninterrupted or error-free operation of the Website. Winterlands.com shall not be liable for any loss of business, profits, revenue, or other damages to users or third parties resulting from technical disruptions.

7. Intellectual Property Rights

‍All content on the Website, excluding the listings, including but not limited to text, images, graphics, software, scripts, and audio, is protected by applicable national and international intellectual property laws, treaties, and conventions. All rights in trademarks, service marks, and logos displayed on the Website are reserved. No portion of the Website may be used, reproduced, distributed, transmitted, broadcast, or displayed for any purpose without the prior written consent of Winterlands.com.

8. Limitation of Liability

‍Except where prohibited by law, Winterlands.com shall not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, arising from your use of the Website, even if advised of the possibility of such damages. The liability of Winterlands.com, regardless of the cause or form of action, shall be limited to the amount paid, if any, by you to Winterlands.com.

10. Modification of Agreement

‍Winterlands.com reserves the right to amend or modify this Agreement or any part thereof at its discretion. All amendments shall take effect immediately upon posting on the Website. You are responsible for reviewing and complying with the updated Agreement.

11. Governing Law

‍Any disputes arising under or related to this Agreement shall be governed exclusively by the laws of the State of Wyoming, United States of America, and shall be subject to the exclusive jurisdiction of the courts located therein.
